These Terms & Conditions (“Terms”) govern your access to and use of the TokuGoᴬᴵ platform, operated by TokuGo AI Ltd., Company Number 16526298, registered at 71–75 Shelton Street, Covent Garden, London, UK, WC2H 9JQ (“we”, “our”, “us”).

By using the TokuGoᴬᴵ app, website, or services, you agree to these Terms. If you do not agree, you must not use our services.

1. Eligibility

  • You must be at least 16 years old to use TokuGoᴬᴵ.

  • If you are under 18, you must have parental or guardian consent.

  • By creating an account, you confirm that the information provided is accurate and complete.

2. Services Provided

TokuGoᴬᴵ is the world’s first playable spatial commerce platform, integrating:

  • Play-to-Earn – gamified shopping experiences where users earn TokuCoins.

  • Play-to-Flex – social commerce features, including AR experiences and NFTs.

  • Play-to-Save – personalized real-time deals that deliver everyday value.

Our platform combines AI, AR navigation, and Web3 blockchain technologies to provide interactive commerce experiences.

3. Accounts & Security

  • You are responsible for maintaining the confidentiality of your account and login details.

  • You must not share your account with others.

  • We may suspend or terminate accounts that breach these Terms.

  • Multi-factor authentication and secure password practices are strongly recommended.

4. TokuCoins & Digital Assets

  • TokuCoins are the platform’s native utility token, used for rewards, deals, and transactions.

  • TokuCoins are not legal tender and are not covered by the UK Financial Services Compensation Scheme (FSCS).

  • Transactions are recorded on blockchain networks and may be irreversible.

  • Users are responsible for safeguarding their wallet credentials.

  • NFTs or other digital assets obtained via TokuGoᴬᴵ are subject to applicable intellectual property and licensing terms.

5. Payments & Subscriptions

  • Payments for subscriptions, deals, or in-app purchases are handled by PCI DSS-compliant third-party processors.

  • Pricing is displayed clearly before purchase.

  • Refunds are provided only where required by UK or EU consumer law.

6. Acceptable Use

You must not:

  • Use TokuGoᴬᴵ for unlawful, fraudulent, or harmful purposes.

  • Attempt to hack, disrupt, or reverse engineer the platform.

  • Upload offensive, illegal, or infringing content.

  • Use automated bots or scripts without authorization.

7. Data Protection & Privacy

  • We process personal data in accordance with our Privacy Statement and Cookie Policy.

  • By using TokuGoᴬᴵ, you consent to data processing necessary for platform operation, including AR location services, AI personalization, and Web3 transactions.

8. Intellectual Property

  • All content, branding, design, software, and technology remain the property of TokuGo AI Ltd. or its licensors.

  • Users receive a limited, non-exclusive license to use the platform for personal, non-commercial purposes.

  • Unauthorized reproduction, distribution, or modification is prohibited.

9. Disclaimers & Risk Acknowledgement

  • We provide TokuGoᴬᴵ “as is” and “as available”, without warranty of uninterrupted or error-free operation.

  • Web3 risks: You acknowledge that digital assets, including TokuCoins and NFTs, are volatile and carry financial risk.

  • We are not liable for losses arising from user negligence (e.g., lost private keys, phishing).

10. Limitation of Liability

To the fullest extent permitted by law:

  • TokuGo AI Ltd. shall not be liable for indirect, incidental, or consequential damages.

  • Our total liability in any 12-month period shall not exceed the amount you have paid us for services during that period.

  • Nothing in these Terms excludes liability for death, personal injury, or fraud caused by our negligence.

11. Suspension & Termination

We may suspend or terminate your access if you:

  • Breach these Terms.

  • Use the platform for fraudulent or unlawful activity.

  • Pose a security or compliance risk.

12. Governing Law & Jurisdiction

  • These Terms are governed by the laws of England and Wales.

  • Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms to reflect changes in law, regulation, or our services. Updates will be posted on our website/app with a revised “Last Updated” date. Continued use of the platform after updates constitutes acceptance.
