TOKUGO is building the Spatial Commerce Layer — transforming cities into immersive discovery, shopping, and rewards experiences powered by Spatial AI, Augmented Reality, Location Intelligence, and real-time commerce technology.

TOKUGO is built for smartphones today and smart-glasses ready for tomorrow.

Our platform is designed to help consumers discover real-world offers, rewards, experiences, and places around them, while helping brands, retailers, venues, and partners drive measurable engagement, footfall, and conversions through location-based and AR-powered experiences.

  • to misuse any TOKUGO rewards, offers, TOKUCoins, wallet features, marketplace features, AR experiences, or pilot activations.

TOKUGO may include, or may in the future include, features such as:

  • map-based and spatial discovery interfaces;

  • brand and retailer campaign placements;

  • B2B campaign dashboards;

  • live rewards and time-limited offers;

  • TOKUCoins or reward points;

  • wallet features;

  • digital collectibles or deal ownership features;

  • marketplace functionality;

  • social AR experiences;

  • live video shopping;

  • retailer and brand offer uploads;

  • analytics for engagement, footfall, redemptions, and conversions.

Some of these features may currently be in concept, prototype, MVP, pilot, beta, or development stage. Unless expressly stated otherwise in a signed agreement, no website statement guarantees that a particular feature, technology, commercial result, integration, or service will be available at any specific time.

5. Pilots, demos, beta access, and test activations

TOKUGO may offer pilot programmes, beta access, proof-of-concept demonstrations, early partner activations, retailer tests, brand demos, or location-based experiences.

These may be experimental and subject to change.

Unless agreed otherwise in writing, participation in a TOKUGO pilot, beta, test, demo, or early activation does not create a long-term commercial obligation, exclusivity, partnership, investment relationship, agency relationship, employment relationship, franchise relationship, or joint venture.

TOKUGO may modify, pause, or end any pilot, demo, beta, or test activation at any time for operational, technical, legal, safety, commercial, or strategic reasons.

6. Brand, retailer, and partner submissions

If you submit business information, store locations, product details, offers, catalogues, price promotions, creative assets, logos, campaign materials, or other content to

TOKUGO, you confirm that:

  • you have the legal right to submit that content;

  • the information you provide is accurate, lawful, and up to date;

  • you own or have permission to use any submitted logos, product images, campaign materials, or brand assets;

  • \your offers, promotions, and pricing comply with applicable advertising, consumer protection, pricing, and promotional laws;

  • your submitted content does not infringe the rights of any third party;

  • your submitted content does not contain viruses, malware, harmful code, or unlawful material.

You remain responsible for the accuracy and legality of all materials, offers, promotions, and information you provide to TOKUGO.

By submitting content to TOKUGO, you grant TOKUGO permission to use, display, process, adapt, format, analyse, and publish that content as reasonably necessary to operate, test, promote, demonstrate, or deliver the TOKUGO platform, pilot, campaign, or related services.

7. Consumer offers, rewards, and promotions

TOKUGO may display offers, rewards, promotions, discounts, experiences, or incentives from brands, retailers, restaurants, venues, or other third-party partners.

Unless clearly stated otherwise, these offers are provided by the relevant partner, retailer, venue, or brand, not by TOKUGO.

TOKUGO does not guarantee that any third-party offer, discount, product, service, reward, or promotion will always be available, accurate, redeemable, or suitable for you.

Offers may be subject to additional terms, including expiry dates, redemption limits, availability, location restrictions, stock levels, minimum spend, age restrictions, partner approval, or other conditions.

TOKUGO is not responsible for a partner’s failure to honour an offer, unless TOKUGO has expressly accepted responsibility in writing.

8. TOKUCoins, rewards, wallet features, and digital assets

TOKUGO may include reward points, TOKUCoins, digital vouchers, deal ownership features, wallet functionality, collectibles, or other digital reward systems.

Unless expressly stated otherwise in a separate written agreement or legally approved token document, TOKUCoins, reward points, digital vouchers, or similar in-platform rewards:

  • do not represent legal tender;

  • do not represent shares, securities, financial instruments, or investment products;

  • do not guarantee any financial return, profit, or appreciation in value;
    may have no cash value;

  • may be subject to expiry, limits, redemption rules, or usage restrictions;

  • may be modified, paused, suspended, or withdrawn where required for legal, technical, security, operational, or commercial reasons.

If TOKUGO introduces blockchain, crypto, NFT, marketplace, or token-related features, those features may be subject to additional terms, risk warnings, compliance checks, wallet rules, and regional restrictions.

You are responsible for understanding any risks related to digital wallets, blockchain assets, private keys, digital rewards, or marketplace activity.

9. Marketplace features

TOKUGO may offer or test marketplace features allowing users, brands, or partners to save, trade, swap, redeem, transfer, or interact with deals, rewards, or digital assets.

Marketplace features may be limited, experimental, restricted by region, or subject to additional rules.

TOKUGO may monitor, moderate, restrict, reverse, suspend, or remove marketplace activity where we believe there is fraud, abuse, technical error, breach of terms, legal risk, security concern, or misuse of the platform.

TOKUGO does not guarantee the value, availability, transferability, liquidity, or redemption of any marketplace item unless expressly stated in writing.

10. Location-based and AR experiences

TOKUGO may use location data, map interfaces, AR overlays, spatial content, geofencing, and real-world navigation to deliver immersive discovery and commerce experiences.

You are responsible for using TOKUGO safely and sensibly in real-world environments.

You must not use TOKUGO while driving, cycling, crossing roads, operating machinery, or doing anything that requires your full attention.

You must remain aware of your surroundings at all times.

TOKUGO is not responsible for injury, loss, damage, trespass, accidents, fines, or disputes caused by unsafe, unlawful, distracted, or inappropriate use of location-based or AR features.

TOKUGO may restrict or remove location-based experiences where we believe there is a safety, legal, technical, or operational risk.

11. AI-generated and personalised content

TOKUGO may use artificial intelligence, automation, recommendation systems, data analysis, and location intelligence to generate, personalise, prioritise, or display offers, rewards, content, recommendations, campaign insights, or platform experiences.

AI-generated outputs may not always be accurate, complete, current, or suitable for every user or business.

TOKUGO does not guarantee that AI-generated recommendations, campaign insights, creative outputs, or commercial predictions will produce any specific result.

Businesses and users remain responsible for reviewing and approving any AI-generated content, campaign suggestions, offer structures, or commercial decisions before relying on them.

12. Conceptual, speculative, and AI-assisted content

Some visuals, videos, campaigns, mock-ups, prototypes, demos, or brand examples shown on this website may be conceptual, speculative, AI-generated, AI-assisted, or created for demonstration purposes.

Unless clearly stated otherwise:

they are not live campaigns;
they are not confirmed partnerships;
they are not official brand collaborations;
they are not endorsements by third-party brands;
they do not imply sponsorship, approval, affiliation, or commercial relationship.

All third-party brand names, logos, trademarks, products, and references remain the property of their respective owners.

TOKUGO is not responsible for the availability, accuracy, performance, security, pricing, changes, or failures of third-party services.

15. User accounts and restricted access

If TOKUGO gives you access to a user account, partner dashboard, retailer portal, investor materials, private demo, test build, beta environment, campaign dashboard, or restricted area, you must keep your login details secure.

You must not share access without permission.

You are responsible for activity under your account.

TOKUGO may suspend or remove access where we believe there is misuse, unauthorised access, security risk, legal risk, breach of terms, or breach of a separate agreement.

Any applicable pricing, billing, cancellation, refund, service level, campaign delivery, media placement, production, or subscription terms will be stated separately before purchase or set out in a separate written agreement.

For business customers, commercial terms may be governed by a separate contract, order form, statement of work, or pilot agreement.

For consumers, nothing in these Terms & Conditions affects statutory rights under UK consumer law.

19. Availability and security

We aim to keep the TOKUGO website, platform, demos, and services secure and available, but we do not guarantee uninterrupted access.

TOKUGO may suspend, restrict, withdraw, or modify access for maintenance, updates, testing, security, technical, commercial, legal, or operational reasons.

You are responsible for using suitable devices, browsers, passwords, security settings, and internet connections when accessing TOKUGO services.

20. Limitation of liability

AI-generated inaccuracies or unsuitable recommendations;
location errors, map errors, AR display errors, or navigation issues;
unsafe, distracted, unlawful, or inappropriate use of TOKUGO;
indirect, incidental, special, or consequential loss.

If you use this website or platform as a business user, TOKUGO’s total liability for any claim arising from your use of the website shall not exceed £100, unless a separate written agreement states otherwise.
